TERMS OF USE & DISCLAIMER

1. INTRODUCTION

This Terms of Use & Disclaimer Agreement (“Agreement”) governs your access to and use of the websites, educational programs, online communities, newsletters, and other services operated by Stock Market Scouts, LLC, a Tennessee limited liability company (“Stock Market Scouts,” “SMS,” “we,” “us,” or “our”).

By accessing or using any of our websites, applications, membership platforms, digital content, or subscribing to The Scouting Reports newsletter (collectively, the “Services”), you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services.

This Agreement applies to all users — visitors, registered members, students, and newsletter subscribers.

2. NATURE OF THE SERVICES

Stock Market Scouts provides educational programs, digital courses, community discussions, market insights, and newsletter communications.

SMS is not a registered investment adviser, broker-dealer, or financial institution.
No content distributed through the Services — including The Scouting Reports, social content, learning materials, or reports — should be interpreted as personalized investment advice, recommendation, or solicitation to buy or sell any security or financial instrument.

All information is provided solely for educational and informational purposes.
You acknowledge that you are solely responsible for your own investment or trading decisions and agree to consult qualified professionals before acting on any information obtained through the Services.

3. ACCEPTANCE OF TERMS

By visiting, registering for, subscribing to, or using the Services, you represent and warrant that:

  • You are at least 18 years of age and capable of entering into a binding legal contract;

  • You will use the Services in compliance with this Agreement and applicable law;

  • The information you provide is accurate and complete; and

  • If you act on behalf of an entity, you are authorized to bind that entity to this Agreement.

4. CHANGES TO THESE TERMS OR THE SERVICES

SMS may modify or update this Agreement at any time. Material changes will be reflected by an updated “Effective Date” and, where appropriate, communicated via email, website notice, or newsletter.

Continued use of any Service, including receipt of The Scouting Reports, after notice of changes constitutes acceptance of the revised Terms.
SMS may modify, suspend, or discontinue any Service or feature without notice.

5. USER ACCOUNTS AND SECURITY

To access certain Services, you may need to register an account. You agree to:

  • Maintain the confidentiality of your credentials;

  • Accept responsibility for all activity under your account; and

  • Notify us immediately of any unauthorized use or security breach.

SMS may suspend or terminate accounts for violations of this Agreement or suspected misuse.

6. SUBSCRIPTIONS, BILLING, AND CANCELLATION

6.1 Plans and Renewal

SMS offers Monthly, Semi-Annual, and Annual membership plans, which may include access to educational modules, community spaces, and newsletters. All paid subscriptions renew automatically at the end of each billing cycle unless canceled beforehand.

6.2 The Scouting Reports Newsletter

Subscriptions to The Scouting Reports may be free or paid.

  • Free Subscribers: You may unsubscribe at any time via the “Unsubscribe” link or by emailing support@stockmarketscouts.com.

  • Paid Subscribers: Fees are charged through our secure payment processor. All payments are final and non-refundable. Cancellation stops future renewals but not prior charges.

SMS reserves the right to change newsletter frequency, format, or availability without notice.

6.3 Payments and Taxes

You authorize SMS or its payment processor to charge your payment method for all fees and applicable taxes. Prices and features may change prospectively with notice prior to renewal.

7. LICENSE TO USE SERVICES

SMS grants you a limited, personal, non-transferable, non-exclusive license to access and use the Services for individual, non-commercial, educational purposes during an active subscription term.

You may not copy, distribute, sell, sublicense, reverse-engineer, or publicly display SMS content, including The Scouting Reports.

All rights not expressly granted remain reserved by SMS.

8. INTELLECTUAL PROPERTY

All trademarks, graphics, videos, badges, course materials, newsletters, and proprietary designs appearing within or distributed by the Services are owned by Stock Market Scouts or its licensors.
Unauthorized use or reproduction is prohibited and may result in civil or criminal liability.

9. USER CONTENT AND LICENSE

Certain Services, including community forums or newsletter reply prompts, may allow users to post comments or feedback (“User Content”).
By submitting User Content, you grant SMS a worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, and display that content in connection with operating or improving the Services.

You warrant that you own the content or have rights to post it and that it does not infringe any third-party rights.

10. COMMUNITY CONDUCT — “SCOUT’S HONOR CODE”

To maintain professionalism and respect, all users agree to:

  1. Respect Others: No harassment or personal attacks.

  2. Stay On Topic: Keep discussions relevant.

  3. No Solicitation: No advertising or outside promotion.

  4. Originality: No plagiarized material.

  5. Privacy: Do not share confidential information.

  6. Integrity: No impersonation or false claims.

  7. Compliance: Follow applicable laws and guidelines.

Violations may result in suspension or termination without refund.

11. PROHIBITED USES

Users may not:

  • Use the Services for unlawful purposes;

  • Introduce viruses or attempt to disrupt operations;

  • Attempt unauthorized system access;

  • Use bots or scrapers to extract data; or

  • Interfere with another user’s experience.

13. DISCLAIMERS

THE SERVICES — INCLUDING THE SCOUTING REPORTS NEWSLETTER — ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, SMS disclaims all express or implied warranties, including:

  • Accuracy, completeness, or timeliness of market data or opinions;

  • Fitness for a particular purpose or non-infringement;

  • Availability or uninterrupted delivery.

All commentary and opinions reflect sources believed reliable but are not guaranteed.
Past performance is not indicative of future results.
You assume full responsibility for your reliance on any information provided.

14. LIMITATION OF LIABILITY

IN NO EVENT SHALL SMS, ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS OR DATA) ARISING FROM YOUR USE OF THE SERVICES OR THE SCOUTING REPORTS.

If liability is found despite the above, SMS’s total liability shall not exceed the amount you paid, if any, in the six (6) months preceding the claim.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Stock Market Scouts LLC and its representatives from any claims, damages, or expenses arising out of your use of the Services, your violation of this Agreement, or infringement of third-party rights.

16. TERMINATION

SMS may suspend or terminate your access to any Service at any time, with or without notice.
Upon termination, your license ceases immediately.
Sections concerning Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Arbitration survive termination.

17. BINDING ARBITRATION AND CLASS ACTION WAIVER

17.1 Agreement to Arbitrate

Except as provided below, all disputes arising from or relating to this Agreement or your use of the Services shall be resolved by final and binding arbitration administered by JAMS under its Consumer Arbitration Rules.
Arbitration will occur in Nashville, Tennessee, unless both parties agree to virtual proceedings.

17.2 Class Action Waiver

All disputes must be brought on an individual basis. You and SMS waive participation in any class or representative action.

17.3 Opt-Out Option

You may opt out within 30 days of acceptance by sending written notice to legal@stockmarketscouts.com stating:

“I elect to opt out of Stock Market Scouts’ arbitration agreement.”

17.4 Exceptions & Governing Law

Either party may pursue individual claims in small-claims court or seek injunctive relief for intellectual-property or access violations.
This arbitration clause is governed by the Federal Arbitration Act (9 U.S.C. §§1-16).

18. GOVERNING LAW AND VENUE

This Agreement is governed by the laws of the State of Tennessee without regard to conflict-of-law principles.
Subject to arbitration, disputes shall be brought exclusively in the state or federal courts of Davidson County, Tennessee.

19. ELECTRONIC COMMUNICATIONS

By using the Services or subscribing to The Scouting Reports, you consent to receive electronic communications from SMS, including educational materials, newsletters, promotional updates, and legal notices.

You may manage preferences or unsubscribe at any time via the email link or by contacting support@stockmarketscouts.com.
Unsubscribing from marketing emails does not affect required transactional communications for paid memberships.

20. MISCELLANEOUS

Entire Agreement: This Agreement and the Privacy Policy constitute the entire agreement between you and SMS.
Severability: If any provision is found invalid, the remainder remains enforceable.
No Waiver: Failure to enforce any provision does not constitute waiver.
Assignment: You may not assign these Terms; SMS may transfer its rights without restriction.
Force Majeure: SMS is not liable for events beyond its reasonable control.
Headings: Section titles are for convenience only and do not affect interpretation.
