1. INTRODUCTION

This Terms of Use & Disclaimer Agreement ("Agreement") governs your access to and use of the Stock Market Scouts mobile application, websites, and related services operated by Stock Market Scouts, LLC, a Tennessee limited liability company ("Stock Market Scouts," "SMS," "we," "us," or "our").

By downloading, installing, accessing, or using our mobile application (the "App"), websites, or any digital content (collectively, the "Services"), you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services and delete the App from your device.

This Agreement applies to all users—visitors, free users, and premium subscribers.

2. NATURE OF THE SERVICES

Stock Market Scouts provides educational market analysis, commentary, and insights through a mobile application designed for global investors.

SMS is not a registered investment adviser, broker-dealer, or financial institution.

No content distributed through the Services—including daily market analysis, weekly reports, stock spotlights, forex coverage, cryptocurrency coverage, commodities coverage, or any other articles or reports—should be interpreted as personalized investment advice, recommendation, or solicitation to buy or sell any security or financial instrument.

All information is provided solely for educational and informational purposes.

You acknowledge that you are solely responsible for your own investment or trading decisions and agree to consult qualified professionals before acting on any information obtained through the Services.

3. ACCEPTANCE OF TERMS

By downloading, installing, registering for, or using the Services, you represent and warrant that:

• You are at least 18 years of age and capable of entering into a binding legal contract;

• You will use the Services in compliance with this Agreement and applicable law;

• The information you provide is accurate and complete; and

• If you act on behalf of an entity, you are authorized to bind that entity to this Agreement.

4. CHANGES TO THESE TERMS OR THE SERVICES

SMS may modify or update this Agreement at any time. Material changes will be reflected by an updated "Effective Date" and, where appropriate, communicated via email, in-app notification, or website notice.

Continued use of any Service after notice of changes constitutes acceptance of the revised Terms.

SMS may modify, suspend, or discontinue any Service or feature without notice.

5. USER ACCOUNTS AND SECURITY

To access certain Services, you may need to create an account. You agree to:

• Maintain the confidentiality of your credentials;

• Accept responsibility for all activity under your account; and

• Notify us immediately of any unauthorized use or security breach.

SMS may suspend or terminate accounts for violations of this Agreement or suspected misuse.

6. SUBSCRIPTIONS, BILLING, AND CANCELLATION

6.1 Free and Premium Access

The App offers both free and premium content tiers.

• Free Users: Access to a daily market snapshot article at no cost. No payment information required.

• Premium Subscribers: Full access to all content, including in-depth daily analysis, weekly recaps, week-ahead previews, stock spotlights, forex coverage, cryptocurrency coverage, commodities coverage, and regional investor insights.

6.2 In-App Purchases and Billing

Premium subscriptions are purchased through in-app purchases via the Apple App Store or Google Play Store. All billing, payment processing, and subscription management are handled by Apple or Google, as applicable.

By subscribing to premium content, you agree to the terms and conditions of the applicable app store, including their payment and billing policies.

Subscription fees are charged to your app store account upon confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date.

6.3 Free Trial

New users may be eligible for a 7-day free trial of premium content. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your app store account will be charged.

6.4 Cancellation

You may cancel your subscription at any time through your device's subscription settings:

• iOS: Settings > Apple ID > Subscriptions > Stock Market Scouts > Cancel

• Android: Google Play Store > Menu > Subscriptions > Stock Market Scouts > Cancel

Cancellation stops future renewals but does not provide a refund for the current billing period. You will retain access to premium content until the end of your current subscription term.

6.5 Refunds

Refund requests are handled by Apple or Google according to their respective refund policies. SMS does not process refunds directly. For refund inquiries, please contact Apple App Store Support or Google Play Support.

6.6 Price Changes

SMS reserves the right to change subscription pricing at any time. Price changes will not affect your current subscription term but may apply upon renewal. You will be notified of any price changes before your next billing cycle.

7. LICENSE TO USE SERVICES

SMS grants you a limited, personal, non-transferable, non-exclusive license to download, install, and use the App on devices you own or control for individual, non-commercial, educational purposes during an active subscription term or while using free features.

You may not copy, distribute, sell, sublicense, reverse-engineer, decompile, modify, or publicly display SMS content or the App.

All rights not expressly granted remain reserved by SMS.

8. INTELLECTUAL PROPERTY

All trademarks, logos, graphics, article content, reports, proprietary designs, and other materials appearing within or distributed by the Services are owned by Stock Market Scouts or its licensors.

Unauthorized use, reproduction, or distribution is prohibited and may result in civil or criminal liability.

9. USER CONDUCT

Users agree to:

• Use the Services only for lawful purposes;

• Not attempt to gain unauthorized access to any portion of the App or its systems;

• Not introduce viruses, malware, or any harmful code;

• Not use bots, scrapers, or automated tools to extract data;

• Not interfere with other users' experience or the operation of the Services;

• Not share login credentials or subscription access with others; and

• Not redistribute, republish, or resell any content from the App.

Violations may result in suspension or termination of access without refund.

10. THIRD-PARTY SERVICES AND APP STORES

The App is distributed through the Apple App Store and Google Play Store. Your use of the App is also subject to the terms and conditions of the applicable app store.

SMS is not responsible for the policies, practices, or availability of any third-party platforms or services.

12. DISCLAIMERS

THE SERVICES—INCLUDING ALL ARTICLES, REPORTS, AND MARKET ANALYSIS—ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.

To the fullest extent permitted by law, SMS disclaims all express or implied warranties, including:

• Accuracy, completeness, or timeliness of market data, analysis, or opinions;

• Fitness for a particular purpose or non-infringement;

• Availability, uninterrupted access, or error-free operation of the App.

All commentary and opinions reflect sources believed reliable but are not guaranteed.

Past performance is not indicative of future results.

You assume full responsibility for your reliance on any information provided.

13. LIMITATION OF LIABILITY

IN NO EVENT SHALL SMS, ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS, DATA, OR INVESTMENT LOSSES) ARISING FROM YOUR USE OF THE SERVICES.

If liability is found despite the above, SMS's total liability shall not exceed the amount you paid, if any, in the six (6) months preceding the claim.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Stock Market Scouts LLC and its representatives from any claims, damages, or expenses arising out of your use of the Services, your violation of this Agreement, or infringement of third-party rights.

15. TERMINATION

SMS may suspend or terminate your access to any Service at any time, with or without notice, for any reason including violation of this Agreement.

Upon termination, your license ceases immediately and you must delete the App from your devices.

Sections concerning Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Arbitration survive termination.

16. BINDING ARBITRATION AND CLASS ACTION WAIVER

16.1 Agreement to Arbitrate

Except as provided below, all disputes arising from or relating to this Agreement or your use of the Services shall be resolved by final and binding arbitration administered by JAMS under its Consumer Arbitration Rules.

Arbitration will occur in Nashville, Tennessee, unless both parties agree to virtual proceedings.

16.2 Class Action Waiver

All disputes must be brought on an individual basis. You and SMS waive participation in any class or representative action.

16.3 Opt-Out Option

You may opt out within 30 days of acceptance by sending written notice to legal@stockmarketscouts.com stating:

"I elect to opt out of Stock Market Scouts' arbitration agreement."

16.4 Exceptions & Governing Law

Either party may pursue individual claims in small-claims court or seek injunctive relief for intellectual-property or access violations.

This arbitration clause is governed by the Federal Arbitration Act (9 U.S.C. §§1-16).

17. GOVERNING LAW AND VENUE

This Agreement is governed by the laws of the State of Tennessee without regard to conflict-of-law principles.

Subject to arbitration, disputes shall be brought exclusively in the state or federal courts of Davidson County, Tennessee.

18. ELECTRONIC COMMUNICATIONS

By using the Services, you consent to receive electronic communications from SMS, including push notifications, in-app messages, and emails regarding your account, service updates, and promotional content.

You may manage notification preferences within the App settings or your device settings at any time.

19. MISCELLANEOUS

• Entire Agreement: This Agreement and the Privacy Policy constitute the entire agreement between you and SMS.

• Severability: If any provision is found invalid, the remainder remains enforceable.

• No Waiver: Failure to enforce any provision does not constitute waiver.

• Assignment: You may not assign these Terms; SMS may transfer its rights without restriction.

• Force Majeure: SMS is not liable for events beyond its reasonable control.

• Headings: Section titles are for convenience only and do not affect interpretation.

By downloading, installing, or using the Stock Market Scouts mobile application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
