TERMS OF USE AND DISCLAIMER AGREEMENT
Effective Date: October 4, 2026

1. INTRODUCTION
This Terms of Use and Disclaimer Agreement ("Agreement") governs your access to and use of the Stock Market Scouts mobile application, websites, and related services operated by Stock Market Scouts, LLC, a Tennessee limited liability company ("Stock Market Scouts," "SMS," "we," "us," or "our").
By downloading, installing, accessing, or using our mobile application (the "App"), our websites, or any digital content (collectively, the "Services"), you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you must immediately discontinue use of the Services and delete the App from your device.
This Agreement applies to all users: visitors, free users, and premium subscribers.

2. NATURE OF THE SERVICES
Stock Market Scouts is a financial education and market analysis service for investors in the United States. The Services consist of two parts:
Scout School, a structured educational curriculum of lessons organized into modules, covering money management, market fundamentals, company analysis, and investing strategy.

Daily market analysis, a curated set of articles published on days the US market is open, covering US market activity, sectors, the economy and Federal Reserve policy, metals, energy, currencies, cryptocurrency, individual stocks, earnings results, and analyst rating changes, together with weekend recap and preview content. Articles are also published in audio form.

SMS is not a registered investment adviser, broker-dealer, or financial institution.
No content distributed through the Services, including daily market analysis, weekend reports, stock spotlights, company comparisons, earnings coverage, analyst action coverage, educational lessons, or any other article, report, or audio content, should be interpreted as personalized investment advice, a recommendation, or a solicitation to buy or sell any security or financial instrument. We do not issue buy or sell recommendations and we do not publish price targets as advice.

All information is provided solely for educational and informational purposes.
You acknowledge that you are solely responsible for your own investment or trading decisions and agree to consult qualified professionals before acting on any information obtained through the Services.

3. GEOGRAPHIC SCOPE
The Services are intended for use by residents of the United States and are offered only in the United States. Content concerns US markets, US securities, and US economic policy, and is prepared without regard to the laws, tax treatment, regulations, or market conditions of any other country.
We make no representation that the Services are appropriate or available for use outside the United States. If you access the Services from outside the United States, you do so on your own initiative and are responsible for compliance with your local law.

4. ACCEPTANCE OF TERMS
By downloading, installing, registering for, or using the Services, you represent and warrant that:

• You are at least 18 years of age and capable of entering into a binding legal contract;

• You will use the Services in compliance with this Agreement and applicable law;

• The information you provide is accurate and complete; and

• If you act on behalf of an entity, you are authorized to bind that entity to this Agreement.

5. CHANGES TO THESE TERMS OR THE SERVICES
SMS may modify or update this Agreement at any time. Material changes will be reflected by an updated Effective Date and, where appropriate, communicated by email, in-app notification, or website notice.
Continued use of any Service after notice of changes constitutes acceptance of the revised Terms.
SMS may modify, suspend, or discontinue any Service or feature without notice. This includes adding, renaming, retiring, or changing the frequency of any article series or educational module.

6. USER ACCOUNTS AND SECURITY
To access certain Services, you may need to create an account. You agree to:

• Maintain the confidentiality of your credentials;

• Accept responsibility for all activity under your account; and

• Notify us immediately of any unauthorized use or security breach.

SMS may suspend or terminate accounts for violations of this Agreement or suspected misuse.

7. SUBSCRIPTIONS, BILLING, AND CANCELLATION

7.1 Free and Premium Access
The App offers a free tier and a premium subscription tier.
Free users receive, at no cost and with no payment information required: the daily market analysis articles, including coverage of the US market, the economy, metals, energy, currencies, cryptocurrency, and news headlines, in both written and audio form, together with the opening modules of the Scout School curriculum. Free access is permanent and is not a trial.
Premium subscribers receive everything included in the free tier, plus the complete Scout School curriculum through its closing Masterclass, and the company-level analysis, including stock spotlights, side by side company comparisons, earnings previews and breakdowns, and analyst rating coverage.
The specific content included in each tier may change as the Services develop.
7.2 In-App Purchases and Billing
Premium subscriptions are purchased through in-app purchase via the Apple App Store or the Google Play Store. All billing, payment processing, and subscription management are handled by Apple or Google, as applicable.
By subscribing to premium content, you agree to the terms and conditions of the applicable app store, including its payment and billing policies.
Subscription fees are charged to your app store account upon confirmation of purchase. Subscriptions automatically renew at the end of each billing period unless canceled at least 24 hours before the renewal date.
7.3 Cancellation
You may cancel your subscription at any time through your device's subscription settings:

• iOS: Settings > Apple ID > Subscriptions > Stock Market Scouts > Cancel

• Android: Google Play Store > Menu > Subscriptions > Stock Market Scouts > Cancel

Cancellation stops future renewals but does not provide a refund for the current billing period. You will retain access to premium content until the end of your current subscription term, after which your account reverts to the free tier.
7.4 Refunds
Refund requests are handled by Apple or Google according to their respective refund policies. SMS does not process refunds directly. For refund inquiries, contact Apple App Store Support or Google Play Support.
7.5 Price Changes
SMS reserves the right to change subscription pricing at any time. Price changes will not affect your current subscription term but may apply upon renewal. You will be notified of any price change before your next billing cycle, in accordance with the applicable app store's requirements.

8. LICENSE TO USE SERVICES
SMS grants you a limited, personal, non-transferable, non-exclusive, revocable license to download, install, and use the App on devices you own or control, for individual, non-commercial, educational purposes, during an active subscription term or while using free features.
You may not copy, distribute, sell, sublicense, reverse-engineer, decompile, modify, or publicly display SMS content or the App. This restriction applies equally to written articles, audio versions of those articles, and Scout School lesson content.
All rights not expressly granted remain reserved by SMS.

9. INTELLECTUAL PROPERTY
All trademarks, logos, graphics, article content, audio recordings, educational lessons, reports, proprietary designs, and other materials appearing within or distributed by the Services are owned by Stock Market Scouts or its licensors.
Market data displayed within the Services is obtained from third-party data providers and remains the property of those providers, subject to their terms.
Unauthorized use, reproduction, or distribution is prohibited and may result in civil or criminal liability.

10. USER CONDUCT
Users agree to:

• Use the Services only for lawful purposes;

• Not attempt to gain unauthorized access to any portion of the App or its systems;

• Not introduce viruses, malware, or any harmful code;

• Not use bots, scrapers, or automated tools to extract data or content;

• Not interfere with other users' experience or the operation of the Services;

• Not share login credentials or subscription access with others; and

• Not redistribute, republish, resell, or use as training data for any machine learning system any content from the Services.

Violations may result in suspension or termination of access without refund.

11. THIRD-PARTY SERVICES AND APP STORES
The App is distributed through the Apple App Store and the Google Play Store. Your use of the App is also subject to the terms and conditions of the applicable app store.
SMS is not responsible for the policies, practices, or availability of any third-party platform, data provider, or service.

11.1 Apple-Specific Terms
The following applies to users who obtained the App from the Apple App Store:
Acknowledgment. This Agreement is between you and SMS only, not with Apple Inc. ("Apple"). SMS, not Apple, is solely responsible for the App and its content.
Scope of License. The license granted in Section 8 is limited to a non-transferable license to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
Maintenance and Support. SMS is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.

Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price of the App, if any. To the maximum extent permitted by law, Apple will have no other warranty obligation whatsoever with respect to the App.
Product Claims. SMS, not Apple, is responsible for addressing any claims relating to the App, including product liability claims, any claim that the App fails to conform to applicable legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property Claims. In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, SMS, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
Legal Compliance. You represent and warrant that you are not located in a country subject to a US Government embargo or designated as a terrorist-supporting country, and that you are not listed on any US Government list of prohibited or restricted parties.
Third-Party Beneficiary. Apple and its subsidiaries are third-party beneficiaries of this Agreement and, upon your acceptance, will have the right to enforce this Agreement against you as a third-party beneficiary.

13. DISCLAIMERS
THE SERVICES, INCLUDING ALL ARTICLES, AUDIO CONTENT, EDUCATIONAL LESSONS, REPORTS, AND MARKET ANALYSIS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND.
To the fullest extent permitted by law, SMS disclaims all express or implied warranties, including:

• Accuracy, completeness, currency, or timeliness of market data, analysis, or opinions;

• Fitness for a particular purpose or non-infringement;

• Availability, uninterrupted access, or error-free operation of the App.

Market data. Prices, quotes, financial figures, earnings data, and analyst ratings presented in the Services are obtained from third-party data providers. That data may be delayed, incomplete, revised, or inaccurate. It is provided for educational illustration and is not suitable for trade execution, order routing, or any time-sensitive decision. You should verify any figure against an authoritative source before relying on it.
Commentary. All commentary and opinions reflect sources believed reliable but are not guaranteed. Analysis published on any given day reflects information available at the time of publication and is not updated as conditions change.
Past performance is not indicative of future results.
You assume full responsibility for your reliance on any information provided.

14. LIMITATION OF LIABILITY
IN NO EVENT SHALL SMS, ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR INVESTMENT LOSSES, ARISING FROM YOUR USE OF THE SERVICES.
If liability is found despite the above, SMS's total liability shall not exceed the amount you paid, if any, in the six (6) months preceding the claim.

15. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Stock Market Scouts, LLC and its representatives from any claims, damages, or expenses arising out of your use of the Services, your violation of this Agreement, or your infringement of third-party rights.

16. TERMINATION
SMS may suspend or terminate your access to any Service at any time, with or without notice, for any reason including violation of this Agreement.
Upon termination, your license ceases immediately and you must delete the App from your devices.
Sections concerning Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Arbitration survive termination.

17. BINDING ARBITRATION AND CLASS ACTION WAIVER
17.1 Agreement to Arbitrate
Except as provided below, all disputes arising from or relating to this Agreement or your use of the Services shall be resolved by final and binding arbitration administered by JAMS under its Consumer Arbitration Rules.
Arbitration will occur in Nashville, Tennessee, unless both parties agree to virtual proceedings.
17.2 Class Action Waiver
All disputes must be brought on an individual basis. You and SMS waive participation in any class or representative action.
17.3 Opt-Out Option
You may opt out within 30 days of acceptance by sending written notice to legal@stockmarketscouts.com stating:
"I elect to opt out of Stock Market Scouts' arbitration agreement."
17.4 Exceptions and Governing Law
Either party may pursue individual claims in small-claims court or seek injunctive relief for intellectual property or access violations.
This arbitration clause is governed by the Federal Arbitration Act (9 U.S.C. sections 1 through 16).

18. GOVERNING LAW AND VENUE
This Agreement is governed by the laws of the State of Tennessee without regard to conflict-of-law principles.
Subject to arbitration, disputes shall be brought exclusively in the state or federal courts of Davidson County, Tennessee.

19. ELECTRONIC COMMUNICATIONS
By using the Services, you consent to receive electronic communications from SMS, including push notifications, in-app messages, and emails regarding your account, service updates, and promotional content.
You may manage notification preferences within the App settings or your device settings at any time.

20. MISCELLANEOUS
Entire Agreement. This Agreement and the Privacy Policy constitute the entire agreement between you and SMS.
Severability. If any provision is found invalid, the remainder remains enforceable.
No Waiver. Failure to enforce any provision does not constitute waiver.
Assignment. You may not assign these Terms. SMS may transfer its rights without restriction.
Force Majeure. SMS is not liable for events beyond its reasonable control.
Headings. Section titles are for convenience only and do not affect interpretation.
